Bylaws
The name of this organization shall be “Ladies’ Division” of Skagit Golf & Country Club”, herein referred to as Ladies Club.
Section 1: To provide competition and tournament play.
Section 2: To promote keener knowledge of the rules and etiquette of golf.
Section 3: To promote good sportsmanship, fair play, and cooperation between members.
Section 4: To provide a friendly and inviting atmosphere for and between our members.
Section 1: Women who are playing members of Skagit Golf and Country Club are entitled to become members of the Ladies Club, subject to payment of the Ladies Club dues.
Section 1: The Officers of the Ladies Club shall be Captain, Assistant Captain, Secretary, and Treasurer.
Section 2: All Officers shall hold office for one (1) year, commencing November 1, and each year thereafter the office of Captain shall be filled by the Assistant Captain who was elected the preceding year. In the event the Assistant Captain is unable to assume the duties of Captain the year immediately following her election, candidates for the office of Captain shall be nominated in accordance with Article 6, Section 1.
Section 3: There shall be one Ladies Club Trustee who is the Captain from the preceding year. In the event she is unable to fulfill the role, the Executive Board will appoint another previous trustee.
Section 4: There shall be the following Committee Chairpersons appointed by the Captain: Competition, Eclectic, Fellowship, Membership, Greens, Handicap, Invitational, Publicity, Rules and Etiquette, Team, Awards and Yearbook.
Section 5: The Captain may appoint any additional Chair (s) as she deems necessary to assist in performing the duties of the Ladies Club.
Section 6: A WSWGA Trustee shall be elected for a four (4) year term and may be re-elected. In the fourth year of the Trustee’s term, which falls on the even number years, the Captain shall appoint a committee of three (3) from the membership to nominate suitable candidates. Election shall be held at the final meeting of the season.
Section 7: The control and management of the Ladies Club shall be entrusted to an Executive Board, consisting of the Elected Officers, Trustee, and Committee Chairs.
Section 1: The Executive Board of the Ladies Club can meet monthly. The date and time of the Board meeting shall be set by the Board. The General Membership meetings shall be scheduled by the Board starting in April. There shall be at least three (3) meetings per year with additional meetings scheduled as needed by the Executive Board.
Section 2: Special meetings of the Executive Board and/or General Membership meetings shall be scheduled, if necessary, at the discretion of the Captain.
Section 3: Any subject coming before the membership for a vote, other than election of officers, shall require a quorum. A quorum shall consist of one fourth (1/4) of the current Ladies Club membership.
Section 1: The Captain shall announce the General Membership meeting held on the first Tuesday in September. The Executive Board positions are to be filled the following year. Those members desiring a position on the Executive Board or a position as Chair of a committee shall be encouraged to submit their name to the Nominating Committee for consideration.
Section 2: A Nominating Committee of two (2) or three (3) members appointed by the Captain shall nominate candidates for each of the offices of Assistant Captain, Secretary, and Treasurer at least thirty (30) days prior to the October meeting. Names of the nominees shall be posted on the bulletin board fourteen (14) days prior to the October meeting. Further nominations may be made from the floor, subject to the consent of the nominee.
Section 3: When the slate lists only one person for each office, the vote shall be by majority vote. In the event two or more persons are running for any one office, voting shall be by secret written ballot. The Nominating Committee shall tabulate the votes and the results announced at the meeting.
Section 4: Candidates receiving a majority of the votes cast for each office shall be deemed elected.
Section 5: Ladies Club members who desire to vote for officers but who cannot attend the election meeting, may vote by proxy by indicating their choice for officer(s) in writing to the Captain or Assistant Captain prior to the election meeting.
Section 1: The Captain shall be ex-officio member of all standing committees. In the event an elected office is vacated during the year, the Captain shall appoint a successor to complete the term.
Section 2: The Assistant Captain shall be the Tournament and Exchange Chair, and may appoint a committee to assist the Chair in fulfilling these duties. In addition, the Assistant Captain shall assist the Captain in the performance of her duties, and shall perform the duties of the Captain in her absence.
Section 3: The Captain and Assistant Captain shall represent the Ladies Club and may attend all such Board of Directors meetings that apply to the business of the Ladies Club. If so, you must apply to the General Manager and receive permission to be on the agenda prior to the meeting.
Section 4: The Secretary shall record the minutes of all meetings and conduct the correspondence of the Ladies Club at the direction of the Captain.
Section 5: The Treasurer shall maintain all financial records and bank all monies received by the Ladies Club and shall perform all duties incident to the office of Treasurer, or that are properly required by the membership. An Auditor, appointed by the Captain, shall audit the Ladies Club records each year and provide a written report to the Captain.
Section 1: An estimated budget for annual expenses shall be prepared by April each year by the Executive Board of the Ladies Club and submitted to the membership for approval no later than the first general meeting in May.
Section 2: The estimated annual budget, as approved by the membership, shall govern Ladies Club expenditures for the ensuing year.
Section 1: Ladies Club bylaws may be amended, altered, or repealed by a majority vote of the members at a regular or special meeting at which a quorum is present, providing that notice of any such proposed change(s) has been presented to the Executive Board in writing and posted for membership review thirty (30) days prior to membership voting on said proposed change(s).
Roberts Rules of Order shall govern the Ladies Club, except where they may conflict with these bylaws.
Section 1: Rules and Etiquette
A. Consult with the SG&CC Professional or Assistant Professional should clarification or decision on a ruling be required.
B. The Rules and Etiquette Chair shall, at each General Membership meeting, lead discussion on selected golf rules and/or etiquette matters to ensure the understanding and compliance for the benefit of all members. Such items to be discussed to include, but not limited to:
◦ Courtesy on the tee and green
◦ Repairing ball marks, and other appropriate course maintenance issues
◦ Dress Code
◦ Sportsmanship
Section 2: Handicap Chair
The Handicap Chair shall assure that all scores are correctly recorded.
Section 3: Bylaws
The Executive Board shall serve as focal point for membership questions regarding bylaws application and preparation of any bylaw changes proposed by members and submission of same to the Captain or Assistant Captain for membership consideration.
Section 4: Competition
A. The Competition committee shall consist of a Chair and Assistant Chair. The committee shall be responsible for all scheduled competition and shall determine flight divisions based on handicap.
B. The committee shall post the winners from each division on the bulletin board each week.
C. Regularly scheduled competitions shall include:
• Weekly competition, as shown in the yearbook
• Eclectics are to be based on Tuesday play
D. Competition starts in April and ends the last Tuesday in October, unless course issues dictate otherwise.
E. Birdies will be based on Tuesday play only.
F. Scorecards must be turned in with name, date, handicap, gross and net score totals, and must be signed and attested.
G. Incorrect cards will not be eligible for competition.
H. Play must be with another member of the Ladies Division to be official.
I. An honorarium, not to exceed $5.00, will be awarded to any member breaking 70, 80, 90, or 100 for an 18-hole score for the first time on our Skagit Golf & Country Club course when it is maintained at its standard USGA rating. This award will be presented at the monthly meeting.
Section 5: Invitational
The Invitational Committee shall be responsible for all arrangements for the Annual Ladies Club Invitational Tournament. The Chair may be assisted by committee members of her choice.
Section 6: Publicity
The Chair shall be responsible in coordinating e-mails and mailings to the membership after approval from the Captain.
Section 7: Fellowship
The Fellowship Chair shall be responsible for sending appropriate greeting cards to members who are ill, sympathy, etc.
Section 8: Membership
The committee shall consist of the Assistant Captain and other Chairs. The committee shall be responsible for welcoming and informing new or potential members of our Policies and Procedures.
Section 9: Tournaments
The Assistant Captain and the committee shall be responsible for establishing policies and procedures governing all tournaments. Such policies and procedures, in addition to those noted below, must be approved by the Captain reasonably prior to each tournament.
Section 10: Trophies (Awards)
The Awards Chair shall be responsible for obtaining all trophies or awards to be offered as awards as authorized by the Competition Committee and funded through the annual budget. The Chair may be assisted by committee members of her choice.
Section 11: Eclectic
A. The committee shall consist of a Chair and Assistant Chair of her choice. The committee shall see that Eclectic cards are made out for each paid member by the first day of the season.
B. At the beginning of the Eclectic season, player will circle on card all 18-hole scores. Player will be disqualified at the end of the season if any hole on the card is not circled once. A player may not turn in Eclectic scores until a temporary handicap (5 cards of 18-hole scores) has been established.
C. No scores shall be entered unless a complete round of 18 holes has been played. When a holiday falls on Tuesday, there will be no Tuesday competition and eclectic scores will not be used. When playing temporary greens, Eclectic scores will not be recorded.
D. Participants in the Eclectic competition will designate their scores by circling the number on the card representing their lowest score on each hole.
E. Handicaps at the end of the season are to be used in computing winners. Participants will be placed in equal divisions as they have been playing in on Tuesday competition during the last month of the season.
F. There will be a low gross winner and a low net winner of the field. In addition, there will be three (3) net places in either three (3) or four (4) divisions depending on how many complete their Eclectic cards for the season.
